TERMS AND CONDITIONS OF THE SMILING CLUB» REWARDS PROGRAM

1. General Terms

1.1. These Terms and Conditions (hereinafter the «Terms») govern the operation of the customer rewards program (hereinafter «Smiling Club» or the «Program») provided by the company under the name «GREGORYS S.A.» and the distinctive titles «GRIGORIS A.V.E.E.» and «GRIGORIS», having its registered seat in Alimos, Attica, 8 Archaiou Theatrou Street, VAT No. 094321194 and GEMI No. 121638001000 (the «Company»).

1.2. For participation in the Program by the Company’s customers (hereinafter the «Members» and each of them a «Member»), for obtaining the specific benefits provided herein and for the processing of their personal data, the Members declare that they have read and understood these Terms, the Privacy Policy, the Cookie Policy, as well as the Terms of Use, as posted on the Company’s website [https://www.gregorys.gr/] (hereinafter the «Website» or «e order») and in the mobile application for online orders «Gregory’s e order» (hereinafter the «App»).

2. Program Duration

2.1. The duration of the Program is limited, with a start date in January 2026. The Company reserves the right, at its sole discretion, to extend, renew, amend, or terminate the Program, as well as to adjust its features and benefits, at any time, without liability and without cause. The Company shall inform about the duration of the Program, as well as about any extension or termination thereof, through the Website and/or the App, and/or by any other appropriate means it deems suitable. In case of definitive termination of the Program, the Members shall be timely notified, as above, so that they may redeem any available benefits by the termination date, after which those benefits shall cease to be available and shall not be redeemable.

2.2 In the event that, instead of definitive termination, the Program is adjusted, geographically expanded, or replaced by a subsequent version of the “Smiling Club” rewards program, any benefits accumulated by the Members under the present Program shall not be lost, but may continue to apply and/or be transferred to the subsequent version of the program, in accordance with the characteristics applicable at the relevant time.

3. Program Description and Ways to Participate

3.1. In order to reward its customers for their preference and trust in the products and services it provides, the Company offers, through this Program, unique benefits and rewards. At this stage, the Company puts into effect the present form of the “Smiling Club” rewards program. The Program concerns exclusively selected corporate stores and franchise operated GRIGORIS stores located within the Regional Unit of Thessaloniki and, as the case may be, excluding those located in closed markets/special markets/airports, Motorway Service Areas, etc. (hereinafter the “Stores”). These Terms relate exclusively to the Program and regulate, for as long as it is in force, the terms of participation and operation thereof, with the remaining provisions applicable as set forth in clause 2 above.

3.2. To enjoy the benefits of this Program, interested individuals may, at their choice, participate in Smiling Club in one of the ways defined below in paragraph 3.5. By participating in the Program, the Members shall be able to collect stamps/cups (hereinafter “stamps”[FE1.1]) and also to benefit from other privileges (coupons, badges, etc.), as set forth in clause 5 below, and redeem them under the conditions provided in these Terms.

3.3. The Program is addressed to individuals over 18 years of age, residing in Greece, having legal capacity, possessing a valid mobile phone number, and carrying out transactions at the Stores.

3.4. For redemption of the Program’s benefits, as described in detail below, the Members shall previously have completed their registration in e order and/or the App (by creating an account). Information on the terms and conditions of registration is available via the Website and/or the App.

3.5. The Members may participate in the Program by one of the following ways:

a) Via registration link sent by email by the Company: Interested individuals who have previously given their consent to receive promotional communications from the Company, as provided in the terms of use and the privacy policy of the Website and/or the App, may receive an email that includes a link which redirects them to the Program’s registration page. Through that link, interested individuals may, after logging into their e order account or completing, if required, their registration therein and, after being informed of these Terms, declare their participation in the Program by selecting the relevant field .Interested individuals who have an e order and/or App account without a confirmed mobile phone number must first complete the verification process by following the steps displayed on their screen. The above process is completely free of charge, with no financial burden.

b) By obtaining the rewards card from the Stores Interested individuals who wish to participate in the Program may obtain the rewards card (hereinafter the “Rewards Card”) [FE2.1]from the Stores, subject to availability. The Rewards Card is for personal use, does not display the interested individual’s personal data, but bears an identification number, barcode, and QR code. By scanning the QR, a link shall appear that redirects interested individuals to e order, where they shall be able to log into their account (if they already have an e order account) or register in e order by following the relevant steps and enter the Rewards Card number in the corresponding field. Entering the identification number of the Rewards Card is necessary to link it to the Member’s e order account. All interested individuals, after completing their registration in e order and/or the App as set forth in clauses 3.4 and 3.5 above, may participate in Smiling Club by selecting the relevant field, after being informed about its terms via the corresponding available link. Upon the Member’s cumulative completion of the above actions—registration in e order and/or the App and declaration of participation in the Program—and the entry of the identification number of the Rewards Card, activation of the Rewards Card is completed and the Member may enjoy all the Program’s benefits by redeeming stamps, etc. If the above actions are not completed, any stamps collected with the Rewards Card cannot be redeemed and may be deleted by the Company within one (1) year from the day of the first stamp. In case of loss of the Rewards Card (subject to prior completion of registration in e order and participation in the Program), any stamps collected are not lost. In any case, however, the Company shall bear no liability for fraudulent use of the card by a third party. This method of registration entails no financial burden for interested individuals.

c) By sending a text message Interested individuals who wish to participate in the Program may, during their visit to a Store, provide their mobile phone number to an employee exclusively so that they receive a text message (SMS) with the relevant link, which shall redirect them to e order, with the rest of the above applying. In brief, via this link, those who already have an e order account may log in and declare their participation in the Program, while those who do not have an account may first complete their registration in e order and/or the App and then declare their participation in the Program by selecting the relevant field. The above process is completely free, without any financial burden. If registration in e order and/or the App is not completed, the interested individual’s mobile phone number may be kept in the Company’s internal systems, without being identified in any way with a specific person and without being linked to any other data, exclusively for technical support purposes and proper representation of the rewards system (e.g., reporting, any future association of benefits in case of completion of registration with the same mobile number) and shall be kept only for as long as necessary for these purposes, according to the provisions of the Privacy Policy.

3.6. Purchase of products for participation in the Program by any of the above ways is not mandatory. To enjoy the Program’s benefits, either prior purchase of selected Company products or completion of missions or actions is required, as set forth below under clause 5.

3.7. Deletion of a Member’s account from e order and/or the App shall entail discontinuation of their participation in the Program, and any stamps and other unused benefits up to that time shall be lost.

4. Selection of Category by Members – Agreement to Participate in the Program

4.1. To participate in the Program—which is optional—the interested individual is called upon, after being informed via the relevant links of these Terms and the Privacy Policy, to declare, by selecting the relevant field, that they wish to participate in the Program, that they accept inclusion in a category (either by selecting one of the categories displayed or, in case of no selection, by classification into the basic category “Coffee Lover”), and that they agree to receive the necessary electronic notifications via email within the scope of the Program. The Company shall process this information for the purposes of ensuring that the Program operates as designed (categorization of Members following their free choice or otherwise classification into the basic category, display of relevant missions, granting corresponding benefits, notification of creation and expiry of relevant coupons, etc.) and for the smooth operation and overall management thereof. Such processing shall be carried out exclusively within the context of participation in the Program and is necessary for the purposes of categorizing Members, the individualized and proper operation of the Program, the provision of corresponding benefits, ensuring system reliability, and improving Members’ experience in a manner that meets their reasonable expectations. For the processing of personal data as above, please refer to the Privacy Policy

4.2. The Company shall define the missions for each category and the corresponding benefits (indicatively: coupons, badges, etc.), as applicable from time to time. The category selected by Members may be changed up to three (3) times within each calendar year (with a one day interval each time). Missions completed and benefits arising therefrom shall not apply when transactions are carried out by Members at the Stores-they shall apply only to transactions through e order, subject to the availability of products or service by the respective Store. By participating in the Program, the Member accepts, among other things, inclusion in a category (even the basic one in case of no selection) and the processing by the Company of the relevant information, so that the latter may assign and display the relevant missions and provide the corresponding benefits. As separate notifications are not provided within the Website and/or the App, the Member shall be informed, regarding information related to the Program (indicatively: available missions, any changes thereto, notifications personalized as to the category to which they belong, benefits arising from their successful completion, expiry of coupons, etc.), via emails sent to the email address declared by the Member, which are directly connected to the use of the Program. Such communications are an integral part of the Program’s operation, are necessary for the provision of its benefits, and are required for the provision of the service as designed. Certain missions may be addressed to all Members, regardless of the selected category. Notification thereof shall likewise be made via email.

4.3. The Member may at any time request discontinuation of their participation in the Program and, consequently among other things, discontinuation of receiving the above emails necessary for the Program’s operation, by using the deregistration link [FE3.1]included in the relevant emails and/or via the available account settings. This choice shall entail their withdrawal from the Program, deletion of data related to it, according to the provisions below under clause 7, as well as loss of any unused benefits/coupons. It goes without saying that information collected during the completion of the e order and/or App registration form shall continue to be processed by the Company for lawful purposes, according to the Company’s Privacy Policy. Any other promotional actions through the Company’s Website and/or the App are non personalized, are not related to the category described herein, and are for informational purposes to every visitor to the Website and/or the App upon prior explicit consent.

5. Collection of Stamps and Rewards

5.1. All Program Members may collect stamps from the purchase of selected products, as determined from time to time by the Company and communicated to the Members via email, or via the Website and/or the App. Additional stamps may be collected from participation in missions available exclusively on the Website and/or the App, as set forth in clause 4 above, and also in other ways, as determined from time to time by the Company, which in any case reserves the right to unilaterally amend the actions required to obtain benefits.

5.2. Regarding the manner of collecting benefits by Members, the following shall apply:

a) Purchase of selected products through the Website and/or the App: In case of purchase of selected products through the Website and/or the App, as such products are determined by the Company pursuant to the above under clause 5.1, stamps shall be collected upon completion of the order on the Website and/or the App (execution and delivery). In case of cancellation of the order for any reason, stamps shall be removed accordingly.

b) Purchase of coffee products from Stores: Purchases of products from Stores that are accompanied by rewards according to these Terms shall concern only coffee products, as determined by the Company (https://www.gregorys.gr/kafes/). In this case, the Member, by swiping the Rewards Card or declaring their mobile phone number to the Store employee, or by showing the Member’s QR code, shall collect stamps/cups, as the number thereof is determined from time to time by the Company.

c) Completion of actions or missions in e order: The Member may collect badges, coupons, etc., by completing specific actions or missions exclusively in e order, as determined from time to time by the Company (e.g., by the Member entering their date of birth, or upon the Member’s first entry into the Program, etc.). Collection of benefits shall not be possible from orders placed via cooperating platforms, other than the Website and/or the App.

5.3. Program Members shall be entitled to benefits, such as, indicatively: one free coffee, 1+1 product, special offers, coupons for the purchase of selected products, etc., which benefits the Company may modify at any time at its sole discretion. The benefit of one (1) free coffee shall apply both to purchases made at Stores and through the Website and/or the App. Other benefits of the Program shall apply only to purchases through the Website and/or the App and under the conditions referred to above.

5.4. Benefits offered pursuant to these Terms and within the scope of participation in the Program are personal. Sale, transfer, assignment, or sharing with third parties shall not be permitted. The above shall also apply to the Rewards Card, which constitutes a personal item and may be used only by the Member in whose name it has been issued.

5.5. Benefits shall not have autonomous monetary value and shall not be exchangeable for money or usable as an advance payment for product purchases.

6. Enjoying Benefits/Redemption

6.1 Upon participation in the Program and collection of stamps or completion of missions and other actions, the Member shall enjoy the following benefits:

6.1.1. Upon completion of ten (10) stamps (cups), the Member shall enjoy one free coffee on their next order (10+1 coffee), pursuant to the conditions above under clauses 5.2(a) and 5.2(b), since the relevant coupon must first be created (within twenty four (24) hours at the latest) and then redeemed on the Member’s next order. The number of stamps (cups) may be modified at the Company’s discretion. Relevant notification shall be sent via email. Redemption of the one free coffee shall be carried out exclusively by the Member either at the Stores or through the Website and/or the App.

6.1.2. Upon completion of the missions (or other actions) as defined by the Company above via e order, for which the Member shall be informed via relevant email, the Member may win a special discount coupon or benefit from another offer/privilege for redemption either at the Stores (depending also on the availability of each) or on e order for selected products, as determined from time to time by the Company. It is hereby clarified, with respect to redemption of the special discount coupon described herein at the Stores, that such special discount coupon shall not be combinable with any other special discounts in effect there.

6.2. Prior registration of the Member in e order by creating an account shall be mandatory for the redemption of all benefits.

6.3. Activation of redemption may require a certain period of time, after the elapse of which the Member may benefit from the relevant privilege. In any case, redemption shall be performed on the Member’s next order.

6.4. It shall not be possible, in the same order, to add more than one coupon granting a right to a discount on the same product/same campaign (e.g., within the “free coffee” campaign, two identical coupons shall not be combinable). Conversely, coupons of different product categories/campaigns may be combined (e.g., the free coffee coupon may be combined with the special coupon granting a discount on salads).

6.5. In case of purchasing products in bundle form (e.g., coffee together with cheese pie), redemption of the free coffee to which the Member is entitled after completion of ten (10) stamps (cups), pursuant to the above under clause 6.1.1, shall not be possible within the bundle. However, that coffee (within the bundle) shall be counted normally towards completion of stamps (cups) under the basic 10+1 scheme

6.6. The Members shall not be entitled to transfer benefits from their account to any third party account

6.7. The Company reserves the right to automatically cancel stamps or coupons, not granting Members the ability to redeem them, if they have not been collected according to the methods provided by the Company and based on these Terms.

6.8. Each stamp shall have an independent expiration date of one (1) year from the time it becomes active in the Member’s account for use, while for coupons the corresponding time period shall be determined by the Company on a case by case basis. Upon expiry of the above dates, the relevant stamps, coupons, etc., shall be removed from the Member’s Rewards card/account.

6.9. The Company also reserves the right, at its discretion, to cancel any other benefits, apart from those described under clause 6.8 above, in the case of a Member’s account that is inactive for a long period greater than twelve (12) months.

7. Withdrawal from the Program

7.1. The Members shall be entitled at any time to withdraw from the Program, however, they shall lose the right to use any unused stamps, coupons, etc., from that point onward. To exercise the right of withdrawal, the Member may select the relevant field located in the Member’s card on the Website and/or the App, or be redirected thereto by selecting the corresponding link in an email communication. By selecting the above field, deletion of the Member from the Program shall be automatically effected.

7.2. Withdrawal of the Member from the Program shall entail loss of the Member’s right to benefit from the Program’s privileges pursuant to these Terms, and their personal data collected within the scope of the Program shall no longer be processed by the Company and shall be deleted, subject to the provisions set forth under clause 8.7 below

7.3. Withdrawal of the Member from the Program shall not entail deletion of the Member’s account from e order. Deletion of the Member from the Program shall not entail deletion of the personal data relating to information found in the Member’s e order account, the retention of which shall be required within the scope of the Member’s transactional relationship with the Company and the Company’s compliance with obligations arising from applicable legislation, pursuant to the specifics in the Company’s Privacy Policy.

7.4. In case of withdrawal from the Program, the Rewards Card shall be deactivated and any stamps, coupons, etc., collected shall not be redeemable.

8. Other Terms

8.1. The Company reserves the right to amend or abolish these Terms by terminating the Program at any time and at its absolute discretion. Any changes or revisions of these terms and conditions shall apply immediately upon publication on the Website and/or the App, and each Member shall visit the Website at regular intervals to be informed accordingly. Due to the initially limited nature of the Program, the Company may make modifications to the rewards mechanisms, the benefits and/or participating Stores, for testing and optimization purposes.

8.2. The Company shall bear no liability towards any Member for any expenses or any damage or harm arising, in whole or in part, directly or indirectly, from the operation of the Program, from changes thereto, or from its discontinuation.

8.3. Access by interested individuals to e order and/or the App shall be carried out exclusively by their own means.

8.4. The Company shall take all necessary technical and organizational measures for the protection of the Members’ personal data. The Members must ensure that, during use of the Program, they do not permit unauthorized access by third parties to their personal account (password theft, phishing, etc.) or to the Rewards Card. In case any damage or harm is caused to the Members due to the aforesaid unlawful actions, the Company shall bear absolutely no liability.

8.5. Proper use and safekeeping of the Rewards Card and of their account shall be the Member’s responsibility.

8.6. The Company reserves the right to deactivate a Member’s account participating in the Program if it finds that they violate these Terms and applicable legislative provisions. In such case, any collected stamps, coupons, etc., shall be deleted. Furthermore, the Company may, at its absolute discretion, refuse to issue/withdraw or cancel a Program participation account or a Rewards Card.

8.7. The Company declares that, for compliance with these Terms and for the proper operation of the Program (collection of stamps, redemption, etc.), it may retain a history of movements/orders carried out by the Member within the scope of their participation in the Program.

8.8. The Company shall bear no liability due to any possible temporary inability of the Program, attributable to a technical error, to add points or to redeem them.

8.9. The Program is intended for purely personal and private use. The Members must refrain from any action related to the use of the Program for commercial purposes

8.10. The Program may be combined and applied in parallel with other promotional actions at the Company’s discretion.

8.11. With respect to the processing of personal data of interested individuals to participate in the Program and/or of the Members, the provisions of the Privacy Policy shall apply complementarily.

8.12. The above Terms shall be governed by and interpreted in accordance with Greek law.

8.13. The Courts of the city of Athens shall be competent for any dispute arising from these Terms
